Marine Harvest CEO Divests Fully from His Company
Shareholder resolution filed to block future director-level actions of no confidence
WASHINGTON, DC -- In response to Marine Harvest CEO Atle Eide selling his entire stake in the company, NET Fund, with the support of the Pure Salmon Campaign, today filed a shareholder resolution calling on the Marine Harvest board to reform its executive compensation to prohibit this action in the future.
"We are discouraged that the CEO has asked investors to buy shares in a company he runs and promotes, but has elected to hold no shares himself," said Andrea Kavanagh, director of the Pure Salmon Campaign. "This raises the question for us that if Mr. Eide is not committed to the company's shareholders, then how can we remain confident that he is committed to the communities whose environments are impacted by Marine Harvest salmon farms?"
Marine Harvest controls more than 30% of the global farmed salmon market. The Pure Salmon Campaign, which is campaigning for higher standards for farm-raised salmon, is concerned about the impact of Marine Harvest's fish farming operations on the environment, human health and workers.
The shareholder resolution filed today asks the board of directors to "adopt a compensation policy that prohibits changes to stipulations applying to options granted to senior officers and that these stipulations shall include re-pricing and retention requirements." In 2006, the board relaxed certain requirements on Eide's options, allowing the sale of 2.8 million shares that he completed yesterday. The board did not relax this retention requirement for other senior executives. For example, CFO Trine Sæther Romuld also exercised shares a few weeks earlier 13 March, but the board ruled that her remaining shares "should be held for a minimum of 12 months."
"Shareholders look to company leaders for reassurance that its practices are not harming the company's bottom line," said Kavanagh. "When a company changes its compensation policy mid-year and its CEO completely divests his ownership stake, it can create uncertainty from shareholders."
The Marine Harvest 2007 annual meeting is scheduled for 13 June in Oslo, Norway. The full text of the shareholder resolution is:
RESOLVED, the shareholders of Marine Harvest hereby request that the Board adopt a compensation policy that prohibits changes to stipulations applying to options granted to senior officers and that these stipulations shall include re-pricing and retention requirements. The policy shall only apply to options that have been granted and that new options may include different stipulations.
